Terms of Service

These terms govern access to and use of our websites, documentation, demo environments, and subscription SaaS products — including the NHCX Bidirectional Adapter — offered by Nexa Health Tech. By using the Services, you agree to these terms.

Who we are

The Services are operated by Nexa Health Tech (“we”, “us”, “our”). References to “you” mean the individual or organization accessing or using the Services.

Agreement

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these terms, do not use the Services.

The Services

We provide middleware and related software services for health claims interoperability, including India’s Health Claims Exchange (NHCX), bidirectional claim and pre-authorization workflows, and FHIR R4-based integration patterns through the NHCX Bidirectional Adapter. The Services are described on our site, in documentation, and in an applicable order, statement of work, or subscription agreement. Features, environments, and support levels may differ by plan (for example production vs. demo or sandbox).

Accounts and access

You are responsible for credentials, API keys, OAuth clients, and all activity under your account or tenant. You must provide accurate registration information and notify us promptly of unauthorized use. Where Keycloak or similar identity services are used, you must configure roles and secrets according to our documentation and your security policies.

Acceptable use

You agree not to:

  • Violate applicable law, regulator guidance, or third-party rights;
  • Probe, scan, or test vulnerabilities without authorization, or overload or disrupt our systems or connected networks (including NHCX endpoints);
  • Use the Services to distribute malware, spam, or deceptive content;
  • Reverse engineer our software except where mandatory law allows, or circumvent technical access controls;
  • Submit false, incomplete, or non-compliant health claims or related payloads except in authorized test environments;
  • Use demo, trial, or sandbox environments for regulated production workloads unless expressly agreed in writing.

Customer data

You retain ownership of data you submit through the Services, including claim payloads, configuration, and integration metadata. You grant us a limited license to host, process, transform, route, and display that data solely to provide and improve the Services. You are responsible for lawful collection and transmission of health or personal data. Specific obligations for regulated or sensitive categories are set out in your subscription agreement and, where applicable, a Data Processing Addendum (DPA) or equivalent under India’s Digital Personal Data Protection Act (DPDP) and other applicable law.

Intellectual property

We and our licensors own the Services, software, documentation, connectors, and branding. Except for the limited rights granted in these terms or your order, no rights are transferred to you. Open-source components included in the Services remain subject to their respective licenses.

Third-party services

The Services may interoperate with third-party systems such as hospital information systems (HIS), payers, TPAs, the NHCX network, identity providers (including Keycloak deployments), and cloud infrastructure. Those services are governed by their own terms and availability; we are not responsible for third-party outages, policy changes, or adjudication decisions.

Disclaimer

Except where prohibited by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Demo, sandbox, and documentation examples may use simulated or non-production data. You are responsible for validating workflows against your regulatory and payer requirements before go-live.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these terms or the Services is limited to the amounts paid by you to us for the Services in the twelve (12) months before the claim, unless a higher cap is set in your order. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent allowed.

Indemnity

You will defend and indemnify us against third-party claims arising from your use of the Services in violation of these terms or applicable law, or from your data, integrations, or misconfiguration, except to the extent caused by our gross negligence or willful misconduct.

Suspension and termination

We may suspend access for material breach, security risk, non-payment where applicable, or legal requirement. Either party may terminate as set out in your order. On termination, your right to use the Services ends; provisions that by nature should survive (for example liability, confidentiality, and payment obligations) will survive.

Governing law

These terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in Ghaziabad, Uttar Pradesh, India shall have exclusive jurisdiction, subject to any mandatory rights you have in your country of residence.

Changes

We may modify these terms by posting an updated version with a revised effective date. Continued use after the effective date constitutes acceptance of material changes where permitted by law. For subscribed customers, changes may require notice or consent as stated in the order.

Privacy

Our collection and use of personal information is described in the Privacy Policy.
